Saluzzo (CN), 11 November 2025 – eVISO S.p.A. (symbol: EVISO) – technology company, listed on the EGM, operating in the electricity, gas and fruit sectors (“eVISO” or the “Company”) – announces that it has received, today, communication from the shareholder Iscat S.r.l. (“Iscat”) regarding the reduction of its shareholding, following an asymmetric non-proportional demerger of the same company (indirectly to the benefit of its shareholders), from the previous 12.2% of the share capital (corresponding to 6.5% of the voting rights) to a level below the relevance threshold of 5% of the voting rights.
Specifically, as part of the aforementioned Iscat demerger, 1,295,250 ordinary shares were assigned to Santiago S.r.l., a company whose share capital is wholly owned by Mr. Gianfranco Sorasio, Chairman and CEO of eVISO, who (prior to the aforementioned demerger) held a 43.34% stake in Iscat’s share capital.
In this context, the Company also received, today, communication from shareholder Gianfranco Sorasio that the relevance threshold of 66.6% of the Company’s voting rights had been exceeded, resulting in him holding a total stake (through O Caminho S.r.l. and Santiago S.r.l.) equal to 57.10% of the share capital and 68.14% of the voting rights.
Based on the communications received from shareholders and the information currently available to the Company, the new composition of the share capital of eVISO S.p.A. is therefore as follows:
